Terms of service
These terms govern your school's use of Unistha. They are the agreement between the school and Rixroent Private Limited, the company that makes and operates Unistha. If your school has signed a separate written agreement with us, that agreement wins wherever the two differ.
Who these terms are between
“We” and “us” mean Rixroent Private Limited, India. “The school” means the school, trust or institution that subscribes to Unistha. “You” means anyone using Unistha — a director, a member of staff, a parent or a student.
Parents, students and staff do not sign anything with us. Their accounts are issued by the school, and their relationship is with the school. These terms still describe what the software does and what may not be done with it.
What we provide
Unistha is software for running a school: admissions, attendance, fees, examinations and report cards, timetables, communication and the operational modules the school switches on. It is provided as a service over the internet, with a website for the school on its own subdomain and mobile apps for Android and iOS.
We host it, keep it running, fix faults and improve it. We do not promise that it will never be unavailable — no honest software company does — but we aim for it to be available whenever a school day needs it, and we tell you when we plan work that will interrupt it.
Accounts and who may use them
The school issues every account and decides what each person may see and do. The school is responsible for keeping that list correct — in particular for removing access when a member of staff leaves.
- An account belongs to one person. Sharing a login, particularly a staff login, defeats the activity log that records who did what.
- Keep your password to yourself, and tell the school office at once if you think somebody else has it.
- We may suspend an account we have good reason to believe is being misused, and will tell the school why.
The school's records belong to the school
Everything the school puts into Unistha — student records, marks, attendance, fee ledgers, messages, documents — remains the school’s. We hold it in order to run the service and for no other purpose. We do not sell it, we do not use it to advertise, and we do not use one school’s data to do anything for another.
What we do with personal information, and under what law, is set out in the privacy policy, which forms part of these terms.
Fee money is the school's money
When a parent pays school fees through Unistha, the payment is collected by the school’s own payment gateway account and settles to the school’s own bank account. We are not a party to that payment and we never hold it. What we do is raise the bill, record the payment against the right invoice and issue the receipt.
It follows that questions about a fee — whether it is owed, whether it can be waived, whether it can be returned — are for the school, not for us. How refunds work, on both that money and on the school’s own subscription, is set out in the refunds and cancellation policy.
What the school pays us
The school pays a subscription for Unistha. What it costs depends on the number of students and the modules switched on, and is agreed with the school in writing before it starts — either per student or as a figure for the year. Unless the written agreement says otherwise, the subscription is billed in advance and taxes are charged as Indian law requires.
If a subscription goes unpaid we will ask, and keep asking, before we do anything else. We will not delete a school’s records over an unpaid invoice without telling the school first and giving it a reasonable chance to put things right and to take a copy of its data.
What may not be done with the service
- Using it to break the law, or to hold or send material that is unlawful.
- Trying to reach another school's data, or any part of the system an account has not been granted.
- Probing, scanning or load-testing the service without our written agreement. If you find a security flaw, tell us — we would much rather hear from you than not.
- Copying, decompiling or reselling the software, or using it to build a competing product.
- Uploading anything designed to damage the service or the people who use it.
- Sending messages through the school's communication tools for anything other than the school's business.
Stopping
A school may stop using Unistha in line with the notice period in its agreement. We may stop providing it if the school breaks these terms seriously and does not put it right after being asked, or if it stops paying.
When a subscription ends, the school may ask us for a copy of its data, and we will provide it in a usable format. After that, and after the period the privacy policy sets out, the school’s schema is deleted. Ending a subscription does not by itself remove the school’s obligation to keep records that Indian accounting and education law requires it to keep.
Changes
We improve Unistha continuously, so screens and features change. We will not remove something a school depends on without telling it first. If we change these terms materially we will say so in the product and update the date at the top of this page; continuing to use Unistha afterwards means the school accepts the change.
Liability
We take a great deal of care, but we cannot promise the service will never fail. To the extent Indian law allows, we are not liable for indirect or consequential loss, and our total liability in any twelve-month period is limited to what the school paid us for Unistha in that period.
Nothing here limits liability that cannot lawfully be limited — including for fraud, or for death or personal injury caused by negligence.
Law
These terms are governed by the laws of India. Any dispute arising out of or in connection with them is subject to the exclusive jurisdiction of the competent courts at Arrah, Bhojpur, Bihar.
